CONSTITUTION OF THE
MAKILING AMATEUR RADIO SOCIETY, Inc.
Article I
NAME AND LOCATION OF OFFICE
This non-profit, non-stock organization shall be known as the "Makiling Amateur Radio Society, Inc. " or "MARS" and referred to herein as "Club." Its principal office shall be at Los Banos, Laguna or at any location approved by the regular membership and specified in the Club’s By-Laws.
Article II
OBJECTS AND PURPOSES
The objects and purposes of the Makiling Amateur Radio Society shall be to facilitate the exchange of information and general cooperation between radio amateurs; to promote radio knowledge, fraternalism and individual operating efficiency; to conduct club programs and activities to advance the general interest and state of the art of amateur radio; to render a public service to governmental agencies during impending storms or severe weather as well as to assist in disaster relief operations and other community functions as required and to accomplish and be consistent with such objectives, goals and purposes of and for the amateur radio service as shall be stated and provided by the National Telecommunications Commission or its successor agency.
Article III
MEMBERSHIP
The membership shall be comprised of regular members, associate members, and honorary members all as defined in the By-laws of the Constitution of the Makiling Amateur Radio Society.
Article IV
OFFICERS
The Makiling Amateur Radio Society shall elect a president, a vice-president, a secretary and a treasurer, who shall serve as the respective officers of this Club.
Article V
BOARD OF DIRECTORS
1. The Board of Directors shall be composed of all elected officers and other members duly elected to serve as Directors. The total number of Directors shall be nine (9). They shall serve for one year. The President shall be the Chairman of the Board. It shall be reorganized annually.
2. The Board of Directors shall be the governing body of MARS.
3. The Board shall meet regularly the frequency of which shall be determined in its initial meeting.
Article VI
COMMITTEES
There shall be such standing committees as are provided by the Club's by-laws, and such ad hoc committees as the President shall from time to time determine. The Chairman of said committees shall be appointed by, and serve at the will and pleasure of the President, subject to the provision of the by-laws. A standing committee shall remain in effect until dissolved at a regular club meeting by a two-thirds majority of the quorum present. An ad hoc committee can be dissolved at the discretion of the President.
Article VII
MEETINGS
1. There shall be regular membership meetings as provided in the Club's by-laws. The time and place of any meeting shall be subject to change, or any meeting canceled if the President shall determine that the same is in the best interests of the safety and/or physical welfare of the membership. At any regular meeting, a simple majority shall constitute a quorum for the transaction of business. Once a quorum is achieved at any meeting the subsequent departure of any member or group of members shall not prohibit the conduct of business, nor be deemed to defeat a quorum.
2. The President may call special meetings of the Club at any time upon his own determination, or upon the request of any two officers of the Club, or upon the written request of ten (10) regular members of the Club. Notice of such special meetings shall be given as required in the by-laws.
3. Any business to be conducted, or proposed to be conducted at a regular or special meeting of the Club at which a quorum shall not be present, shall be conducted at the next regular meeting, or properly called special meeting, at which a quorum shall be achieved.
Article VIII
DUES
The dues for the Makiling Amateur Radio Society shall be provided for in the By-laws.
Article IX
AMENDMENTS
This Constitution may be amended by a two-thirds majority of the quorum of regular club members at any regular club meeting provided that all regular members have been notified by mail of the intent to amend the constitution. Such notification shall be to the member's address as contained in the Club's records, and shall consist of a statement of the constitutional provision as it then exists and as it is proposed to be amended.
Article X
RULES
The current revision or edition of Robert's Rules of Order shall govern proceedings.
Article XI
EXCLUSIVITY
The Makiling Amateur Radio Society is organized exclusively for educational, scientific and civic purposes, including, for such purposes the holding of activities and programs that could generate income to be used solely for the upgrading of equipment and facilities of the club. It shall primarily promote amateur radio service and allied services for scientific investigation, community service and worldwide friendship and brotherhood.
Article XII
DISBURSEMENTS
No part of the net earnings of the Club shall inure to the benefit of, or be distributable to its members, trustees, officers, or other private persons, except that the Club shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the purposes set forth in Article X hereof. No substantial part of the activities of the Club shall be the carrying on of propaganda, or otherwise attempting to influence legislation, and the Club shall not participate in, or intervene in (including the publishing or distribution of statements) any political campaign on behalf of any candidate for public office.
Article XIII
AFFILIATION
The club, upon concurrence of the majority of members present in a meeting called for such purpose, may be affiliated with the Philippine Amateur Radio Association, Inc. (PARA) and shall be subject to its governing regulations and policies. It shall reserve the right the withdraw its affiliation upon concurrence of the majority of the members.
Article XIV
DISSOLUTION PROVISION
Upon the dissolution of the Makiling Amateur Radio Society, the Club shall after paying or making provision for the payment of all the liabilities of the Club, dispose of all the assets of the Club exclusively for the purposes of the Club in such manner or to such organizations organized and operated exclusively for charitable, educational or scientific purposes.
BY-LAWS
of the
MAKILING AMATEUR RADIO SOCIETY
I. MEMBERS
1. The Membership of the Makiling Amateur Radio Society shall be divided into three classes: a. regular members; b. associate members and c. honorary members. Each of these types of membership shall extend for one year from the date of payment of dues.
2. A regular member shall be any holder of a valid amateur radio license, issued by the National Telecommunications Commission or any successor agency, or proper agency of his/her country of origin who shall each year pay the annual regular membership fee. International members shall also be classified under regular members.
3. An honorary member shall be any person who has been elected to honorary membership by the Board of Directors on the basis of his/her exemplary contribution to the progress of amateurism.
4. An associate member shall be any person not having a valid amateur radio license issued by the National Telecommunications Commission or any successor agency, who shall each year pay the annual membership fee.
II. VOTING
Voting rights shall be extended only to those persons maintaining the status of regular membership in the Club
III. MEETINGS
Regular monthly meetings shall be held at a time and place to be announced as required in section XI. NOTICE.
IV. DUES
1. All new members shall pay a one-time entrance fee the amount of which shall be determined by the Board of Directors. The one-time entrance fee for succeeding members in the same household may be reduced or waived by the Board.
2. All members shall pay annual membership fee the amount of which shall be determined be the Board.
3. There shall be no entrance and membership fees for honorary members.
V. ELECTION OF OFFICERS
1. The elected officers of this Club shall be: President, Vice-President, Secretary and Treasurer. Only a regular member may hold an elected office.
2. Officers shall be elected at the regular December meeting each year and shall serve for a period of one year. Election shall be by a majority of votes cast. Nominations for the offices may be made not later than one week before the election day. Vacancies occurring between elections must be filled by special ballot at the first regular meeting at which the withdrawal or resignation is announced.
3..Elected officers may be removed by motion upon a three-fourths vote of the regular membership present at any regular meeting, provided that notice of intent to remove the officer shall be given by mail to the regular membership as otherwise provided herein.
VI. DUTIES OF OFFICERS
1. The President shall be any regular member who possesses at least class “C” amateur license or equivalent He shall be the chief executive officer and shall preside at all meetings. He shall enforce due observance of this Constitution and by-laws, decide all questions of order, sign all official documents and perform all customary duties which usually devolve upon such officer. He shall appoint the club trustee whose duties are provided for in Art. VI. Sec. 4.
2. The Vice-President shall, in the absence of the President, assume all the duties of the President.
3. The Secretary-Treasurer shall keep a record of the proceedings of all meetings, read communications at meetings, and accomplish all correspondence. He shall keep the constitution and by-laws of the Makiling Amateur Radio Society and shall cause all amendments, additions and changes to be duly noted. He shall keep an accurate record of the Club membership, of all monies received and expended and shall maintain a separate accounting of all monies received and expended on behalf of repeater Club memberships. He shall pay no bills without proper authorization from the Executive Committee. He shall upon the expiration of his term relinquish all pertinent materials to his successor. Documentation must be provided for all expenditures.
4. The Trustee – The trustee shall be chosen from among the class “A” license holders and shall be charged with the responsibility of caring for the physical property of the club radio station.
5. International Coordinators – An International Coordinator shall be anyone chosen by the Board of Directors who shall facilitate club programs and activities in other countries where there are existing MARS members. He shall coordinate on behalf of the club with local agencies, clubs and other entities in which amateur radio service is involved. He shall make progress report to the Board of Directors quarterly in writing or through electronic media whichever is more convenient. The number of International Coordinators shall be determined by the Board of Directors.
ARTICLE VII. CLUB PROPERTY
1. The club shall have the privilege of owning property both real and personal and the right to buy and sell said property in the club name.
2. Any purchase or acceptance of club property must have the approval of the executive committee, which must notify the membership of the transaction at the next scheduled meeting.
3. Before any transaction involving the sale of club property with a market value over 10,000 pesos, it shall be voted on at the next meeting.
4. The President shall have the privilege of assigning or loaning club-owned property subject to the approval of the Executive Committee. Any person in possession of Club owned property shall be responsible for that property and its use.
5. The club shall not be liable for the effects of any personal use of club-owned property.
6. The club shall have the expressed right to establish and maintain a club radio station and to establish operating procedures within the privileges granted by the National Telecommunications Commission.
IX. PRINCIPAL OFFICE
The principal office of this Club shall be in Los Banos, Laguna or at any location within Metro Manila and Southern Luzon as approved by the regular membership
X. TERM OF OFFICE
All officers shall assume office at the December meeting of the Club, or at the next regular meeting thereafter, if no regular meeting be held during the month of December.
XI. NOTICE
Notice required under these by-laws, or by the Club's Constitution shall be construed to mean written notice, mailed to the record address of each member not later than five (5) days prior to the event of which notice is being given.
XII. STANDING COMMITTEES
1. Technical Committee:
The Technical Committee shall be responsible for installation, maintenance of the club station, repeater and other stations established for special events. It shall also be responsible for formulation and dissemination of the rules of operation of such stations as may be maintained by the Club.
2. Membership Committee:
The Membership Committee shall monitor the status of various classes of Club membership, and shall encourage membership by all licensed amateur radio operators in the area served by the Club and/or its various repeaters, and by all frequent users of such repeaters. It shall recommend to the executive committee new applicants for club membership. It shall also recommend to the removal of delinquent members.
3. Program Committee:
The Program Committee shall plan and arrange for programs of interest to the membership at each regular meeting, and such other programs of interest as may from time to time be available for presentation.
4. Public Service and Net Committee:
The Public Service Committee shall participate in emergency planning and shall serve as liaison with governmental agencies and others to whom emergency and public service activities may be beneficial. It shall be in-charge of the regular and emergency net call of the club.
5. Education and Training Committee:
The Education Committee shall be responsible in holding orientation seminars and demonstrations for prospective amateurs. It shall be in charge of the continuous training and upgrading of technical skills of the club members.
ARTICLE XIII. TERMS OF MEMBERSHIP
A member shall be in good standing if he has paid his dues and other fees as stipulated in the By-Laws and has not been absent in the regular meetings for two consecutive times. Exception applies to those who are living outside the country or places from wherein access to places of meeting is impractical.
VIII. AMENDMENTS
These by-laws may be amended by a two-thirds majority of the quorum of regular club members at any regular club meeting provided that all regular members have been notified by mail of the intent to amend these by-laws.
